SkillsUSA Utah Bylaws

Introduction

​The purpose of this publication is to set forth the policies approved by the Utah SkillsUSA Utah hereafter known as SkillsUSA Utah Board of Directors, as they relate to the management of the Utah Association of SkillsUSA.
 
Definition of terms are:
 
National Organization – SkillsUSA, Inc.
 
The Members of the Corporation are not to be confused with the student members of the organization known as:  SkillsUSA.  SkillsUSA is incorporated as a business with development of students as its principle objective.  This business is conducted by trade, industrial and technical, information technology, and health occupations educators.
 
Generally, the Corporate Member is the State Supervisor of Trade and Technical Education within Utah.  This is the official legal title as designated by the Corporation’s Board of Directors.  This person serves as the educational supervisor for Trade and Technical Education and is the corporate representative for SkillsUSA, Inc., but may serve in a third capacity as State Advisor to the Student Association.  The responsibility for administering the student activities is assigned to the SkillsUSA Utah Director.
 
With the reorganization of many of the State Career and Technology Education Divisions, the position of State Supervisor no longer exists.  In this event, it is the responsibility of the Director of Career and Technical Education to designate to the National Organization the Corporate Member as well as the State SkillsUSA Association Director.
 
In the State of Utah, this authority has been assigned to the SkillsUSA Utah State Board of Directors.

Authority Statement

The SkillsUSA Utah Board of Directors hereafter referred to as “the Board” operates under the authority of the State Division of Career and Technical Education.
 
STUDENT LEADERSHIP DEVELOPMENT PROGRAM
SkillsUSA Utah
High School/Post Secondary
 
This Career and Technical Education program is designed to offer leadership and operational services of SkillsUSA Utah to all districts and institutions.  This encourages the development of skills, leadership, and recognition for students.
 
The responsibilities of the Board includes, but are not limited to:

  1. Oversee the management of SkillsUSA Utah and chapters.
  2. The Board will appoint and/or evaluate the performance of the SkillsUSA Utah Director annually.
  3. The State SkillsUSA Director will be responsible for operation of the SkillsUSA Student Program as approved by the Board.
  4. The State Board of Education designates a district or institution as the financial agency to administer the grant and will be responsible to manage the program according to state financial procedures.

BOARD OF DIRECTORS

​Members of the Board are empowered by the following Constitution.
​

Article I
Name

Section 1:     The official name of the Organization shall be:  SkillsUSA Utah High School/Post-Secondary Board of Directors hereafter known as the Board.
​

Article II
Purposes

Section 1:      The Board assures that proper chartering procedures of State Chapters are followed.
 
Section 2:      The Board is responsible for establishing policies and procedures for directing and managing the affairs, funds and property of SkillsUSA Utah.

Article III
SkillsUSA Utah Board of Directors

Section 1:      The Board may be composed of CTE educators, and a student representative.  The membership and term(s) of office(s) is as follows:

Section 2:      Officer(s) of The Board shall include: Chairman, Vice Chair, Corporate Member and Executive Secretary.  The officers will also serve as the Executive Committee.
 
Section 3:      Board Officers – Executive Committee

  1. The Chair - The Chair shall exercise general supervision over the affairs of the association pursuant to the policies and directives of the Board and have all powers and duties inherent in the office of the chairman, including the power and duty of presiding over the meetings of the Board.
  2. The Vice Chair - The Vice Chair shall, in the absence of the Chair, exercise all duties and powers of the chair in the management of the association, and shall at all other times have such duties as may be delegated to him by the Board.
  3. Corporate Member - The Corporate Member is designated by the State Board of Education responsible for trade and technical education, irrespective of the name by which such official may be known in each state, territory of U.S. Possession in which a Student Association has been chartered by the Corporation.
  4. The Corporate Member is the official and legal agent for the State Association holding a charter granted by the Board of Directors of SkillsUSA, Incorporated.  He is responsible for the supervision of all association activities, educational, legal, and financial.  Under the Organization’s structure, there is one Member for each State Association.  When voting on official Corporate Business, each Member has one vote, at the national level.
  5. Executive Secretary – Shall be charged with the care and keeping of The Board records and minutes, coordinate the development of the agenda for each meeting with the chairman and as executive secretary shall exercise all other duties inherent in the office of executive secretary.

Elected officers may serve up to a maximum of four years of consecutive terms in any given office.

The rotation and election of Board officers occurs at the annual Spring Meeting.
 
Section 4:      Board Member Terms:

  1. Region elections will be for a two-year term.  Odd numbered regions will elect board members during odd years.  Even numbered regions will elect board members during even years.
 
 
Section 5:      The Student Representative will be appointed by the Board.
Requirements for this appointment are:

  1. The representative has served as a past SkillsUSA state officer and
  2. This term of service is up to four years.

Article IV
Meetings

Section 1:      Meeting Schedule

  1. Regular Meetings – The Board will hold three formal meetings per year – Fall, Winter and Spring.  Exact dates and times will be determined by the executive committee.
    The yearly meeting schedule will be established at the Fall meeting of the Board.  Meeting agendas must be received by the Board members at least one week prior to the Board meeting date.
  2. Special Meetings – Special Board and/or executive committee meetings will be called by the executive committee as needed. 

Section 2:      Parliamentary Procedure

  1. Roberts Rules of Order will be followed at all meetings of the Board or executive committee.
  2. Proxy votes will be accepted on a prior approved basis with the Board chairman.

Article V
Program Operation

Section 1:      SkillsUSA Utah Director Responsibilities:
The SkillsUSA Utah Director will be responsible for the operation of the SkillsUSA Utah Leadership and Skills Program as approved by the SkillsUSA Board of Directors.  (See Board approved job description).

Article VI
Financial Management

Section 1:      Corporate Member
The Corporate Member has the responsibility for monitoring State Office of Education grants and student funds both Secondary and Post-Secondary as these apply to the SkillsUSA Utah organization.  Secondary as these apply to the SkillsUSA Utah organization.
 
Section 2:      The Secondary and Post-Secondary SkillsUSA Association accounts will be managed according to the established State Office of Education policies and procedures.

Article VIII
Amendments to the Constitution

Section 1:      Procedures for amending the constitution of the SkillsUSA Utah Board of Directors.
 
  1. Proposed amendment must be submitted in writing to the Chair of the Board.
  2. Approved by a two-thirds (2/3) majority of the Board.
